    Intending tenderers/bidders are requested to note the following amendments to the original notice dated 25.04.2009 :

    Amendment under Nature and description of job

                The Booklet size would be 8” x10.75” (inches) instead of 8.5”/11.5” (inches) stated in the original tender under point 3.

    Amendment under the head - Application

    The last date for submission of the  tender application is extended upto 6th May, 2009 (Wednesday) before closing of banking hours i.e. 17.00 p.m. (instead of 4th May, 2009, Monday) under point 2.

    1. Printing and Binding of Bank’s Annual Report consisting of about 140 pages. Printing of text portion in black and white while the outer cover pages shall be in bi-colour.

    2. Printing would be on 41 GSM ITC Tribeni, SPTG paper

    3. Booklet size – 8.5”/11.5” (inches) with Saddle stich binding.

    4. No. of pages per booklet would be around 140 pages. It may vary (+/- 10%). Accordingly, the actual cost per booklet would be on pro rata basis depending on increase or decrease in the no. of pages.

    5. Bank would approve the layout and design before final net-work.

    6. High quality and uniform printing of the text is required.

    7. Final printing would be undertaken only after the proof has been finally vetted.

      Salient Features of Managing Sale of NPAs

      UCO Bank is desirous of selecting reputed Financial Advisor (FA) for providing NPL Portfolio Sell Side Services for such impaired financial assets which have become Non Performing Assets (NPAs) /Non Performing Loans (NPLs) in the books of the Bank as per RBI guidelines.

      The selection of the FA will be based on the EOIs submitted by the parties along with the bids. The EOI along with the bids in sealed envelopes shall be sent to or delivered to the Recovery Department, 7th Floor, UCO Bank at its office at 10 BTM Sarani, Kolkata-700 001 latest by 1-45 p.m. on 24th January, 2009. Such bids should be accompanied by non-interest bearing earnest money deposit (refundable) of Rs.1 lac in the form of DD/Banker’s Cheque payable at Kolkata in favour of UCO Bank.

      Any delay in submission due to postal/transit delay does not entail such EOIs for any consideration and it is the sole responsibility of the parties to ensure to submit the EOI along with the bid within the time specified as above.

      Eligibility:

      1. The Company should have experience in providing NPL Portfolio Services both Globally and in the Indian Market

      2. The company must have sufficient man power of professionals and required infrastructure to accomplish time bound task.

      Process of Selection:

      1. Interested parties have to submit expression of interest along with the Bid which shall be opened on 27/01/2009 at 11-30 a.m.

      I. Expected Scope of Services of Financial Advisor:

      Phase I -Sale Preparation (Due Diligence)

      • The FA shall prepare proper Information and manage Data room preparation
        This would involve putting together :
      • Financial Checklist
      • Relevant documentation and case files
      • FA team shall work closely with the Bank team in completion of financial checklists and in identifying information required from the case files. Bank's legal team/legal advisor will prepare the legal check list. F.A. shall review the legal checklists and information provided by the bank and inform the bank of any other requirements regarding the legal aspects
      • The FA shall provide guidance to Bank on the estimated realizable value of the portfolio. This may serve as one of the basis for the bank for setting the reserve price.
      • However, the valuation of the under lying securities/ collateral shall be arranged by the bank through its approved valuers/ outside agencies
      • The FA shall design the due diligence process and data room management
      • Physical data room - to be used.
        The F.A. will assist the bank in managing the due diligence process from preparation to scheduling, supervising and managing the data room.
      • The FA to initiate formal contact, solicit, follow-up, with Qualified Interested Investors (QII) and work closely with the bank in liasoning with the investors

      Phase II - Execution

      The entrusted FA will have to manage the overall sale execution of NPL that is from setting up of data room stage to completion of transaction. In detail, they will:

      • Develop a complete and thorough process (s) timeline(s) that outlines all contemplated steps, identifying key milestone dates, and work with the bank team to complete the process within stipulated time.
      • Recommend a set of criteria on the acceptability of bids received from QII. However, the decision to accept or reject such a bid will be that of the Bank.
      • Design a process and means of communication with QII, including initial contact, provision of general information, accumulating and organizing all QII correspondence and respond to questions, and relaying them to the appropriate bank personnel.
      • Lead negotiations and discussions with bidders on behalf of the Bank, if and to the extent required that the Bank may express. However, the bank shall decide whether to accept or reject any offer received.
      • The FA to work together with the bank's counsels to ensure the timely delivery, negotiation and drafting of all necessary documentation relating to the transaction. However, Bank will arrange assistance to F.A. in sale preparation and execution phases for following roles:

        1. Conduct legal due diligence - involves checking of loan agreements, security documents and where necessary, advising the bank to obtain updates or missing information to the extent possible.

        2. Assessing recovery strategies and determining likely timings and outcomes of legal action (e.g. Foreclosure processes). to derive Net Present Value (NPV).

      • The FA to work along with the bank personnel and counsels to ensure timely, efficient and complete steps for closing the transaction.

      Conditions in respect of selection:

      1. Selection will be valid for one year from the date of approval by the bank.

      2. Bank may engage them from time to time for all of the aforesaid purposes.

      3. For each portfolio sale of non performing loans, separate contract agreement will be executed.

      4. Items enlisted under the head 'Execution' of Phase II is not exhaustive and is only indicative. Bank may add or delete or modify the said item/s. Any such inclusions or deletions shall be executed in consultation with Bank's personnel identified for the purpose/ connected with the activity and the consent of the FA.

      A. Eligibility Criteria for Printers to be empanelled:

      1. The Printer should be in this particular line of business for at least 5 years with experience in executing publicity related printing jobs for Govt/ PSU/ Reputed public Sector/ Private Sector Organizations.

      1. The Printer should have experience in undertaking large scale printing work with Public Sector, Government or Reputed Private Companies.
        (Applicable for bulk printing categories & flex printing)

      1. The Printer should be on the empanelment of at least one Government organization or reputed private organization (Applicable only for printers applying for empanelment in bulk printing categories).

      1. Printer should have obtained necessary approval/registration as per State Government law (VAT, CST etc).

      1. Annual Turnover of printers applying for small printing jobs should be minimum Rs 5 lakhs and Rs 1 Crores for bulk printing jobs and Rs 1 Crore for flex printing continuously for last 3 years.

      1. Printers who have been blacklisted/ removed earlier by UCO Bank, should not apply.

      1. Printers employed by different departments of UCO Bank are also eligible to apply subject to fulfilling above-mentioned criteria.

      B. Technical Specification:

      1. The printer should have own Screen and offset colour-printing machines with latest technologies.

      1. In-house binding machines and proper storage facility to store printed materials.

      1. Availability of in-house composing facility/ DTP system is required for printers applying for bulk printing category.

      1. Separate sheet specifying machines used for designing, processing, colour offset, screen-printing, cutting & binding etc should be enclosed with application. (Proof to be enclosed)

        Flex printers are required to submit proof of availability of machinery with latest technology used for printing.

      1. Printers who have been blacklisted/ removed earlier by UCO Bank/ other organizations should not apply. Declaration in this regard to be enclosed with the bid.

      1. Printers employed by different departments of UCO Bank are also eligible to apply subject to fulfilling above-mentioned criteria.

      C. Other Terms & Conditions of Tender Notice:

      1. Conditional offers are liable to be rejected.

      1. The Bank will not make any advance payment for any type of Printing order. However, bills, if otherwise in order, would be paid promptly after satisfactory execution of the order. Income Tax and other taxes if any etc. will be deducted at source (TDS) from the final bills as required under I.T.Act

      1. Time of delivery of order is important for empanelled printers. In the event of any delay in adhering to the time schedule for printing & delivering by the specific date, Bank may impose penalty for delay in execution of order.

      2. If the work is not found to be of good quality then the Bank will have the right to make suitable deductions from the payable amount or material delivered will be rejected without paying any price/compensation. The decision of the bank in this regard will be final.

      1. Canvassing in any form shall lead to disqualification in participating of tender process.

      1. Printer will be empanelled for two years subject to annual performance evaluation. However this period can be extended for further one year at the discretion of the bank.

      1. The Bank will have right to drop any agency form the empanelled list without assigning any reason whatsoever. Bank has also reserve the right to modify the term and conditions for empanelled agencies.

      1. Questionnaire and undertaking on specified format (Annexure).

      2. Profile of the Printer mentioning constitution of the firm, address of registered office, address of printing press and name of big orders executed.

      3. Copy of Registration Certificate.

      4. Last three years profit & loss account with Balance Sheet.

      5. Copy of income tax assessment for last 3 years.

      6. Solvency certificate from Banker (For Printer applying for Bulk and Flex printing category)

      7. Copy of the Orders executed from large corporate and Govt agencies during last two years (Only for printers applying for bulk & flex printing jobs).

      8. Letter of empanelment from at least one Government organization or reputed private organization (Only for printers applying for bulk printing jobs).

      9. Copy of the VAT & CST registration certificate.

      10. Proof of having own Screen/offset colour printing and binding machines.

      11. Separate sheet specifying machines used for designing, processing, colour offset, screen-printing, cutting & binding etc should be enclosed with the application.

    Notice inviting tender for hiring of one 63 kva stand-by diesel generating set for UCO Bank, head office-2 at DD-3&4, Sector I, Salt Lake, Kolkata –700 064.

    Sealed two-part tenders are invited by UCO Bank, Head Office, General Administration Department from bonafide Kolkata based owners and suppliers of Diesel Generating Set of capacity 50 KVA and above on hire basis and having at least 5-years experience in the same trade in Govt./Public Sector or reputed private sector organisations, for providing one 63 KVA, 3-Phase, 415 Volt. silent Diesel Generating Set in good condition, on hire basis, as a stand-by source of supplying electric power during load shedding/power failure, to identified areas in Bank’s Head Office-2 building at DD-3&4, Sector-I, Salt Lake, Kolkata – 700 064. The D.G. Set will be installed in generator room at ground floor of the building or elsewhere and the same should be capable of supplying continuous 3-Phase power to the extent of 50 KVA (72 Amp) to Bank’s installations/equipments during power failure at any point of time on round the clock basis.

    The scope of services and terms & conditions for hiring the D.G. Set are as under:

    1. Rate is to be quoted for monthly rental charges for 63 KVA, 3-Phase, silent D.G. Set in acoustic box complete with all accessories on hire basis and round the clock services of the operator, possessing the requisite & valid electrical license, for running the D.G. Set. Rate of Service Taxes/VAT, if any payable, should be quoted separately in the tender.

    2. All cost for maintenance and servicing of the generator including the cost of spare parts and periodical replacement of Mobil oil are to be borne by the generator provider.

    3. The tender should remain valid for a period of 45 (Forty five) days from the date of opening.

    4. The D.G. Set offered on hire basis, should not be more than 3-years old and the same should not have run for more than 10,000 hours.

    5. The D.G. Set should be maintained properly to keep the same in satisfactory running condition at all times for supplying emergency power to the extent of 50 KVA.

    6. The D.G Set should be provided with 1st filling of Mobil oil and 30 Litres of Diesel oil. However, for running the generator, Diesel oil and top up Mobil oil will be supplied by the Bank.

    7. The permission of statutory authorities like WBSEB, WBPCB, Directorate of Electricity etc. towards installation of the D.G. Set, will be obtained by the supplier of D.G. Set at no extra cost. However, the requisite fees payable to statutory authorities for obtaining such permission will be paid by the Bank against proper receipts.

    8. The arrangements for providing accessories like cables, change-over switches etc., if required any, will be made by the Bank at its own cost.

    9. The arrangements for providing exhaust pipeline of the D.G. Set, as per requirement & specification of Statutory Authorities, will be made by the Bank at its own cost.

    10. The charges for transportation, loading & unloading of the D.G. Set for installation of the same in the generator room or elsewhere of Bank’s premises, as identified by the Bank, will be borne by the contractor. Mending of any damage caused to the Bank’s property during loading, unloading of the D.G. Set in Bank’s premises will be done by the contractor to original finish, at their cost.

    11. The successful bidder should be in a position to install and commission the D.G. Set in Bank’s premises within 7 (Seven) days from the date of awarding the contract.

    12. Electricity Duty, if any, payable to the State Govt., depending on running hours of the D.G. Set will be borne by the Bank. However, installation of the energy meter with its calibration and registration with the Statutory Authority, will be done by the contractor at their cost.

    13. The contract will remain in force initially for a period of one year from the date of  satisfactory commissioning of the D.G. Set at site. However, the contract is subject to termination at any time if the services are not found satisfactory or for any other reason whatsoever. The contract may be renewed for further period at mutually agreed rates/charges and keeping other terms & conditions unchanged, depending on satisfactory services rendered by the generator provider and requirement of the Bank.

    14. In case of any major break-down of the D.G. Set requiring repairing time for more than four hours, an alternative interim arrangement will be made by the generator provider immediately by providing a substitute generator of identical capacity at no extra cost. For non-functioning of the D.G. Set or in the event of failure on the part of the generator provider to provide an alternative interim generator of identical capacity, within four hours or during power failure/load shedding, penalty at double the pro-rata rate will be imposed and deducted from monthly bill for the generator.

    15. The successful bidder will have to execute an Agreement with the Bank in non-judicial stamp paper of requisite value and as per the draft of Agreement to be provided by the Bank, within 14 (Fourteen) days from the date of commencement of the contract. The successful bidder will also have to furnish a performance security deposit by DD/Pay Order/Banker’s cheque for an amount equal to 10% of annual contract value, within 15 days from the date of commencement of the contract. The performance security deposit can also be submitted in the form of Bank Guarantee, issued by any scheduled commercial Bank banking in India other than UCO Bank or its subsidiary, in a format acceptable to us and having validity for a period covering the contract period and claim period for additional one month. No payment will be made until the Agreement is executed and the performance security deposit is furnished. The performance security deposit will not bear any interest and the same will be refunded to the contractor within a reasonable period after the closure of the contract. If the performance security deposit is submitted in the form of Bank Guarantee, the Bank Guarantee will be discharged & returned after closure of the contract.

    16. Tenders should be submitted along with the Earnest money deposit for the prescribed amount and in the prescribed mode. Tenders submitted without Earnest money Deposit will be summarily rejected. The Earnest money will not bear any interest. The Earnest money deposited by unsuccessful bidders will be refunded after awarding the contract to the successful bidder and on receipt of the unsuccessful bidder’s letter in that respect. The Earnest money deposited by the successful bidder will be refunded after execution of the Agreement and submission of performance security deposit, duly accepted by the Bank.

    17. The deployment of operator for running the generator should comply with the labour legislation Act.and minimum wage Act of Govt. of India and Govt. of West Bengal.

    18. The contractor will have to remove the D.G. Set from the Bank’s premises within 3 (Three) days from the date of termination or closure of the contract at their cost, else demurrage charges @ 1000/- (Rupees One thousand only) per day will be levied by the bank on the contractor. Mending of any damage caused to the Bank’s property during taking the generator out of the Bank’s premises will be done by the contractor to original finish, at their cost.

    19. If the successful bidder fails to perform the commencement of the contract within the specified time period, the earnest money deposited by the bidder will be forfeited.

    20. The Bank reserves the right to reject any tender without assigning any reason whatsoever.

    Procedure for submission and opening of Tenders:

    1. Part-I of the tender should be submitted in a separate sealed cover, super scribing “PART-I (Technical & Commercial Part)” and the name and location of services. Part-I of tender should contain the following:

    1. Make/model of Engine & Alternator, date of manufacture, total running hours of the engine so far.

    Illegal use of our Bank’s Logo and Names

    It has come to our notice that some fraudsters/unscrupulous elements are using Logo, Letter Head etc. of UCO Bank to deceive/defraud the Bank as well as customers. We, therefore, put on notice and caution the general public not to be mislead by such unauthorized use of our Logo and Name of the Bank by fraudsters and act on such fraudulent misrepresentation.

    If any person acts on the basis of such false representation, he will be doing so at his own risk and responsibility and in no case bank will be held liable for such fraudulent act of unscrupulous elements.

    The Bank also reserves its right to take such appropriate legal action either civil or criminal or both as may be advised, against such fraudsters/unscrupulous elements unauthorisedly using the Bank’s Name and Logo for wrongful gain.
